Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, applications, AI agents, connected features, and related services provided by The Acropora (“Acropora,” “we,” “us,” or “our”). By accessing or using the service, you agree to these Terms. If you use the service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms. You are responsible for providing accurate account information, protecting credentials and private invitation links, assigning appropriate workspace roles, and promptly notifying us of suspected unauthorized access. You are responsible for activity conducted through your account by people you authorize.
The service
Acropora provides business research, analysis, drafting, connected-data retrieval, and other AI-assisted capabilities. Features, limits, integrations, and model providers may change over time. Certain features may be provided under an order form, subscription, statement of work, business associate agreement, or other written agreement. If a signed agreement conflicts with these Terms, the signed agreement controls for that conflict.
Connected accounts and permissions
A workspace owner or administrator may authorize Acropora to access a third-party account. You represent that you have the rights and authority needed to grant that access and process the associated data. You are responsible for selecting an appropriate permission level and complying with the third party’s terms and policies.
Connections are read-only by default where supported. Drafting or action permissions must be enabled by an authorized workspace user. Sending email and other consequential external actions require the approval presented by the service. You must review recipients, content, amounts, dates, and other material details before approval. You may disconnect a connected account at any time.
Your content and responsibilities
You retain ownership of content you submit and connected data you are authorized to use. You grant Acropora a limited, non-exclusive right to host, process, reproduce, transmit, and display that content only as necessary to provide, secure, support, and improve the contracted service and comply with law.
You will not use the service to:
- violate law, another person’s rights, or a contractual obligation;
- upload or access information you are not authorized to use;
- send spam, phishing, malware, unlawful content, or deceptive communications;
- bypass access controls, approval gates, usage limits, or security measures;
- probe, disrupt, reverse engineer, or interfere with the service except as permitted by law;
- misrepresent AI-generated material as verified professional advice; or
- use the standard public service for PHI without Acropora’s written confirmation that the specific deployment is authorized for that use.
AI-generated output
AI output can be incomplete, inaccurate, outdated, or unsuitable for your situation. You are responsible for reviewing and validating output before relying on it or using it in a decision, communication, filing, transaction, or external action. The service does not replace legal, medical, accounting, investment, tax, or other licensed professional advice. You remain responsible for decisions and actions taken using the service.
Privacy and confidential information
Our Privacy Policy explains how we handle personal information and connected-service data. Each party will use reasonable care to protect the other party’s confidential information and will use it only to perform or receive the service, exercise rights, comply with law, or as otherwise agreed in writing.
Subscriptions and payment
Paid features, prices, billing periods, included usage, and renewal terms are shown at purchase or in an applicable order form. Unless stated otherwise, subscriptions renew until canceled. Fees are non-refundable except where required by law or expressly agreed in writing. You are responsible for applicable taxes other than taxes on Acropora’s income.
Third-party services
The service may interoperate with third-party platforms, data sources, model providers, and links. Their services are governed by their own terms and privacy practices. Acropora is not responsible for third-party services, changes, outages, or data outside our control. We may suspend an integration when needed to protect users, comply with a provider requirement, or maintain service integrity.
Suspension and termination
You may stop using the service or request workspace closure. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, provider restriction, or when necessary to protect the service or others. Where reasonably practicable, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, and liability limitations—will survive.
Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” Acropora disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted or error-free operation. We do not warrant that AI output or third-party data will be complete, current, or correct.
Limitation of liability
To the maximum extent permitted by law, neither Acropora nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, business opportunities, or data, arising from or related to the service. Acropora’s aggregate liability arising from or related to the service will not exceed the amount you paid Acropora for the service during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.
Changes and contact
We may update these Terms as the service or law changes. We will post the updated Terms and revise the date above, with additional notice when required. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
